SUBSCRIPTION TERMS

Effective Date: July 1, 2026

THESE SUBSCRIPTION TERMS GOVERN ALL RECURRING PURCHASES MADE THROUGH THE ADEGEN PLATFORM. BY PLACING A SUBSCRIPTION ORDER, YOU AUTHORIZE ADEGEN TO CHARGE YOUR PAYMENT METHOD ON A RECURRING BASIS UNTIL YOU CANCEL. PLEASE READ THESE TERMS CAREFULLY BEFORE SUBSCRIBING.

CANCELLATION MUST BE COMPLETED BEFORE YOUR NEXT PROCESSING DATE TO AVOID BEING CHARGED FOR THE FOLLOWING PERIOD. SEE SECTION 6 FOR CANCELLATION INSTRUCTIONS.

1. OVERVIEW

Adegen LLC ("Adegen," "we," "us," or "our") offers subscription-based purchasing for prescription hair loss treatments and certain over-the-counter products through the adegen.com website (the "Site"). These Subscription Terms, together with our Terms of Service, govern your subscription to any Adegen product or service on a recurring basis.

By enrolling in a subscription, you acknowledge that your subscription includes recurring charges and that you authorize Adegen to charge your designated payment method at the applicable subscription interval until you cancel your subscription in accordance with Section 6 of these Terms.

These Subscription Terms are incorporated by reference into and form part of Adegen's Terms of Service. Capitalized terms not defined here have the meanings given to them in the Terms of Service.

2. SUBSCRIPTION PRODUCTS

2.1 Prescription Subscription Products

Prescription hair loss treatments available through Adegen are sold exclusively on a subscription basis. Prescription subscriptions are available in the following intervals:

30-day supply: billed and shipped every 30 days

90-day supply: billed and shipped every 90 days

The 90-day subscription interval is available at a reduced per-unit price compared to the 30-day interval. Pricing for each subscription option is displayed on the applicable product page and at checkout.

Prescription products require a valid prescription from a licensed Provider. Your subscription for a prescription product will not be activated until a prescription has been issued by a Provider following a telehealth consultation. If your Provider does not issue a prescription, your subscription will not be activated and you will not be charged for prescription products.

Continued fulfillment of your prescription subscription is subject to ongoing Provider review. Adegen and the applicable Provider reserve the right to pause, modify, or discontinue your prescription subscription if continued treatment is determined to be clinically inappropriate. Prescription fulfillment is handled by the applicable licensed pharmacy, which operates as a separate legal entity from Adegen LLC.

2.2 Over-the-Counter Subscription Products

Certain over-the-counter (OTC) products are also available on a subscription basis. OTC subscriptions do not require a prescription and will be activated immediately upon purchase. OTC subscription intervals and pricing are displayed on the applicable product page and at checkout.

2.3 Subscription Bundles

Adegen may offer bundled subscription packages that combine prescription and OTC products at a combined subscription price. Bundle pricing, contents, and subscription intervals are displayed on the applicable product or bundle page and at checkout. Each component of a bundle is subject to the terms applicable to its product type (prescription or OTC) as described above.

3. BILLING AND PAYMENT

3.1 Authorization to Charge

By enrolling in a subscription, you expressly authorize Adegen and our third-party payment processor to charge your designated payment method the applicable subscription amount on a recurring basis at the selected subscription interval (30 days or 90 days), beginning on your initial purchase date and continuing until you cancel your subscription in accordance with Section 6.

Your authorization to charge your payment method on a recurring basis will remain in effect until you cancel your subscription or your payment method is declined and not updated within the applicable grace period.

3.2 Subscription Pricing

The price of your subscription is the price displayed at checkout at the time of your initial enrollment or most recent renewal, subject to any applicable promotional pricing or discount codes applied at that time. Prices are stated in U.S. dollars.

Adegen reserves the right to change subscription prices at any time. We will provide you with at least 30 days' advance notice of any price change before it takes effect on your subscription, either by email to the address associated with your account or by a notice posted on the Site. Your continued subscription after the effective date of a price change constitutes your acceptance of the new price. If you do not accept a price change, you must cancel your subscription before the price change takes effect.

3.3 Billing Cycle

Your subscription billing cycle begins on the date of your initial purchase and repeats at your selected interval (every 30 or 90 days) until cancelled. Your payment method will be charged on or around the same date each billing cycle. The exact charge date may vary slightly due to weekends, holidays, or billing system processing times.

You will receive an email notification before each recurring charge is processed. This notification will be sent to the email address associated with your account at least 3 days before the charge date for 30-day subscriptions and at least 7 days before the charge date for 90-day subscriptions.

3.4 Failed Payments

If your payment method is declined or fails for any reason, Adegen will attempt to process the charge again within a reasonable period. We will notify you by email if a payment fails. You are responsible for ensuring your payment information is current and accurate at all times.

If payment cannot be successfully processed within 7 days of the initial failed attempt, your subscription will be paused. Your subscription will remain paused until you update your payment information and authorize the outstanding charge. To update your payment information, log in to your account at adegen.com or contact us at support@adegen.com.

Adegen is not responsible for any interruption in your treatment resulting from a failed payment and subsequent subscription pause.

3.5 Taxes

Applicable sales tax, use tax, or other taxes and fees may be added to your subscription charge depending on your shipping address and applicable state and local law. The amount of tax charged will be displayed at checkout and on your order confirmation.

4. SUBSCRIPTION MANAGEMENT

4.1 Account Access

You can manage your subscription, including viewing your next billing date, updating your payment method, changing your shipping address, and initiating a pause or cancellation, by logging in to your account at adegen.com. You may also contact our customer support team at support@adegen.com for assistance with subscription management.

4.2 Pausing Your Subscription

You may pause your subscription for a period of up to 90 days. During a pause, no charges will be processed and no shipments will be sent. Your subscription will automatically resume at the end of the pause period unless you cancel it before that date.

To pause your subscription, log in to your account and navigate to your subscription management page, or contact us at support@adegen.com. Pause requests must be submitted at least 48 hours before your next scheduled processing date to take effect for that billing cycle. Pause requests submitted after the 48-hour cutoff will take effect for the following billing cycle.

Pausing your prescription subscription may affect the continuity of your treatment. If you pause for an extended period, your Provider may need to re-evaluate your treatment plan before resuming your prescription.

4.3 Changing Your Subscription

You may change your subscription interval (e.g., from 30-day to 90-day supply) or switch between product formulas at any time, subject to availability and, for prescription products, Provider approval. Formula changes for prescription products may require a new or updated prescription.

To request a subscription change, log in to your account or contact us at support@adegen.com. Changes requested at least 48 hours before your next processing date will take effect on your current billing cycle. Changes requested within 48 hours of your processing date will take effect on the following billing cycle.

4.4 Updating Your Shipping Address

You may update your shipping address at any time by logging in to your account. Address changes submitted at least 48 hours before your next scheduled shipment will apply to that shipment. Address changes submitted within 48 hours of a scheduled shipment may not be applied in time. Adegen is not responsible for shipments delivered to an outdated address on file.

5. SHIPMENT AND DELIVERY

Subscription orders are processed and shipped within the timeframes described on the Site and in your order confirmation email. Prescription orders will not be shipped until a valid prescription has been received by the pharmacy from your Provider.

Shipping times may vary depending on your location, carrier availability, and other factors. Adegen is not responsible for delays caused by shipping carriers, weather events, or other circumstances outside our control.

All prescription medications are shipped in compliance with applicable state and federal pharmacy laws. Prescription shipments are packaged discreetly without external branding that identifies the contents.

If a shipment is lost, damaged, or not received, please contact us at support@adegen.com within 14 days of the expected delivery date and we will work with you to resolve the issue.

6. CANCELLATION

6.1 How to Cancel

You may cancel your subscription at any time using any of the following methods:

Online: Log in to your account at adegen.com, navigate to your subscription management page, and select "Cancel Subscription"

Email: Send a cancellation request to support@adegen.com from the email address associated with your account

Cancellation is effective immediately upon confirmation. You will receive a confirmation email once your cancellation has been processed. If you do not receive a confirmation email within 24 hours of submitting your cancellation request, please contact us at support@adegen.com.

6.2 Cancellation Deadline

To avoid being charged for your next billing cycle, your cancellation must be completed at least 48 hours before your next scheduled processing date. Your next processing date is displayed in your account dashboard and in your most recent order confirmation email.

Cancellation requests submitted within 48 hours of a scheduled processing date may not be processed in time to prevent that charge. If your order has already been processed and shipped at the time of your cancellation request, the cancellation will take effect for the following billing cycle and the processed order will not be refunded, except as provided in our Refund & Cancellation Policy.

6.3 Effect of Cancellation

Upon cancellation of a prescription subscription, your Provider will be notified and your prescription will be marked inactive. You will not receive further prescription shipments after your cancellation is processed. If you wish to resume treatment in the future, you will need to initiate a new telehealth consultation, which may require a new prescription.

Cancellation of your subscription does not delete your Adegen account. Your account and health records will be retained in accordance with our Privacy Policy and applicable law. You may request account deletion separately by contacting support@adegen.com.

6.4 Cancellation After Clinical Denial

If a Provider determines following your telehealth consultation that a prescription is not appropriate for you, your prescription subscription will be automatically cancelled and you will not be charged for prescription products. You will receive a notification confirming that no prescription was issued. Please refer to our Refund & Cancellation Policy for information about any consultation or platform fees.

7. FREE TRIALS AND PROMOTIONAL OFFERS

Adegen may from time to time offer free trials, introductory pricing, or other promotional offers for subscription products. The specific terms of any such offer, including the duration of any free trial period, the price after the trial ends, and any restrictions, will be disclosed at the time of enrollment.

Unless you cancel before the end of a free trial period, your payment method will be charged the full subscription price at the end of the trial. Cancellation instructions for free trials are the same as for paid subscriptions, as described in Section 6.

Promotional pricing is available for new subscribers only unless otherwise stated. Adegen reserves the right to modify or discontinue promotional offers at any time.

8. SUBSCRIPTION MODIFICATIONS BY ADEGEN

Adegen reserves the right to modify, suspend, or discontinue any subscription product or pricing at any time. We will provide you with at least 30 days' advance notice of any material change to your active subscription before it takes effect. You may cancel your subscription before the effective date of any such change if you do not wish to continue under the modified terms.

Adegen also reserves the right to limit the number of subscriptions per customer, restrict subscription availability in certain geographic areas, or discontinue subscription offerings for specific products at any time.

9. SUBSCRIPTION COMPLIANCE WITH FTC RULES

These Subscription Terms are designed to comply with the Federal Trade Commission's Negative Option Rule and Click-to-Cancel requirements. Specifically:

All material subscription terms, including price, billing frequency, and cancellation rights, are clearly disclosed before you complete your subscription enrollment

Your affirmative consent to the subscription is required at checkout before any recurring charge is authorized

Cancellation is available through a simple online process that is at least as easy as the enrollment process

You will receive advance notice of recurring charges before they are processed
